1. COMMERCIAL USE
The Corporate Customer represents and warrants that:
Services are purchased for business or professional purposes,
purchases are made on behalf of a company, institution, or organization,
and the Corporate Customer is not acting as a consumer under applicable consumer protection regulations.
The Corporate Customer acknowledges that consumer-specific protections, withdrawal rights, or refund rights available under consumer protection laws may not apply to business-to-business transactions.
2. INDEPENDENT CONTRACTOR RELATIONSHIP
Nothing in these Supplemental Terms shall be construed as creating:
a partnership,
joint venture,
employment relationship,
fiduciary relationship,
agency relationship,
or exclusive commercial relationship
between the parties.
Khilon operates as an independent service provider.
3. NON-EXCLUSIVITY
Unless expressly agreed otherwise in writing, Khilon may provide services to:
other companies,
competing businesses,
organizations operating within the same sector,
or similar commercial entities.
Nothing in these Supplemental Terms grants exclusivity to the Corporate Customer.
4. SERVICE SCOPE
The scope of Services is limited to what is expressly described on:
the relevant service or product page,
proposals,
onboarding documentation,
statements of work,
or written agreements.
Unless explicitly agreed otherwise in writing, Services do not include:
unlimited revisions,
unlimited consulting sessions,
unlimited strategic support,
operational management,
dedicated personnel allocation,
full-time support,
management of third-party vendors,
custom software development,
integration development,
outsourced operational execution,
guaranteed business outcomes,
guaranteed technical infrastructure,
or service-level guarantees.
No Service shall be deemed included unless expressly stated by Khilon in writing.
Khilon may modify, update, improve, replace, suspend, or discontinue:
Service components,
operational structures,
workflows,
AI systems,
features,
modules,
technical infrastructure,
or service methodologies
from time to time.
5. CUSTOMER RESPONSIBILITIES
The Corporate Customer is responsible for:
providing accurate information and documentation,
ensuring that all data, materials, and content shared with Khilon are lawfully obtained and may legally be processed,
granting necessary access permissions,
coordinating relevant internal teams,
maintaining required technical infrastructure,
participating in operational and feedback processes,
providing timely approvals and responses,
supporting operational coordination where necessary.
Khilon shall not be responsible for delays, deficiencies, reduced performance, or operational limitations arising from:
incomplete information,
delayed approvals,
insufficient access,
customer-side infrastructure limitations,
organizational inefficiencies,
customer operational failures,
vendor-side limitations,
or lack of operational coordination.
The Corporate Customer remains responsible for timely payment of all fees.
Khilon may suspend, restrict, or terminate Services in cases involving:
overdue payments,
failed recurring payments,
payment disputes,
fraud risks,
or breach of contractual obligations.
6. SUBSCRIPTIONS & RECURRING SERVICES
For subscription-based or recurring Services:
refunds may not be available once the applicable Service Period has commenced,
cancellation requests become effective at the end of the active billing cycle,
recurring Services may renew automatically unless cancelled prior to renewal.
Khilon may treat the following as commencement of Services:
onboarding,
setup,
strategic preparation,
operational planning,
consultant resource allocation,
analytical processing,
infrastructure configuration,
AI workflow preparation,
customer-specific implementation activities.
Khilon may update:
pricing,
usage limits,
operational structures,
AI systems,
infrastructure,
subscription models,
or service features
from time to time.
Continued use of recurring Services following renewal constitutes acceptance of updated pricing and subscription terms.
Failed recurring payments may result in:
suspension,
restriction,
downgrade,
or termination of Services.
7. CONSULTING & MEETING TERMS
Consulting sessions, workshops, strategic reviews, and advisory engagements are scheduled based on operational availability.
Reserved consulting capacity may be subject to scheduling limitations.
Rescheduling requests initiated by the Corporate Customer, including:
last-minute cancellations,
delayed participation,
missed meetings,
or schedule changes
shall remain subject to Khilon’s operational availability.
Khilon may reject rescheduling requests where operational constraints apply.
Failure to attend scheduled sessions does not automatically create refund rights.
8. TRAVEL & ON-SITE SERVICES
For physical meetings, workshops, trainings, or on-site engagements, the Corporate Customer shall be responsible for:
transportation,
accommodation,
local transfers,
travel-related operational expenses.
Business-class travel arrangements may apply depending on:
engagement scope,
travel duration,
operational requirements,
or location.
Accommodation standards may be determined jointly by the parties.
9. CONFIDENTIALITY & KNOW-HOW PROTECTION
Any non-public information shared by Khilon, including:
methodologies,
frameworks,
prompts,
operational systems,
AI workflows,
strategic models,
analytics systems,
business processes,
educational materials,
pricing structures,
internal workflows,
technical know-how
shall constitute confidential and proprietary information belonging to Khilon.
The Corporate Customer may not:
disclose,
reproduce,
distribute,
commercially exploit,
reverse engineer,
or use such information to develop competing services, systems, AI workflows, training libraries, operational models, or consulting frameworks.
Confidentiality obligations shall survive termination of the applicable Services or agreements.
10. NON-SOLICITATION
During the applicable engagement and for twelve (12) months thereafter, the Corporate Customer may not directly solicit, hire, engage, or attempt to recruit:
Khilon employees,
consultants,
contractors,
advisors,
or operational personnel
involved in the Services without Khilon’s prior written consent.
11. INTELLECTUAL PROPERTY
All intellectual property rights related to:
strategies,
analyses,
frameworks,
educational materials,
prompts,
AI outputs,
systems,
workflows,
methodologies,
presentations,
operational structures,
and related materials
remain the exclusive property of Khilon or its licensors.
No intellectual property rights are transferred unless explicitly agreed in writing.
The Corporate Customer receives only a limited, non-exclusive, revocable, non-transferable right to use the applicable Services for internal business purposes.
The Services and materials provided through the Platform may not be used to develop:
competing consulting systems,
AI tools,
strategic frameworks,
educational products,
operational workflows,
commercial platforms,
or derivative business models.
12. THIRD-PARTY SERVICES & INFRASTRUCTURE
Khilon may rely on third-party providers including:
advertising platforms,
AI infrastructure providers,
CRM systems,
cloud providers,
analytics services,
APIs,
communication systems,
payment processors,
operational integrations.
Khilon shall not be liable for:
outages,
API changes,
infrastructure failures,
compatibility issues,
service interruptions,
data loss caused by third-party providers,
or limitations imposed by external systems.
Khilon may temporarily suspend or limit Services for:
maintenance,
infrastructure updates,
operational improvements,
security requirements,
AI model changes,
or technical necessities.
Khilon does not guarantee uninterrupted, secure, or error-free operation of the Platform or Services.
Unless expressly agreed in writing, Khilon does not provide guaranteed uptime commitments, response times, or service-level agreements (SLAs).
Khilon is not responsible for failures, delays, vulnerabilities, or operational limitations arising from:
the Corporate Customer’s systems,
internal infrastructure,
third-party vendors,
technical environments,
integrations,
or operational dependencies.
13. AI-POWERED SERVICES
Certain Services may incorporate:
AI-powered systems,
automated workflows,
recommendation engines,
behavioral analytics,
generative AI tools,
predictive systems,
operational automations.
AI-generated outputs may contain:
inaccuracies,
incomplete information,
unintended results,
operational limitations,
or analytical inconsistencies.
AI-generated outputs should not be relied upon as the sole basis for:
legal decisions,
financial decisions,
operational decisions,
strategic planning,
or business-critical actions.
Khilon does not guarantee:
commercial outcomes,
operational results,
legal compliance,
business success,
revenue growth,
lead quality,
advertising performance,
return on investment,
or conversion performance.
Nothing provided through the Platform constitutes legal, financial, accounting, tax, investment, or other regulated professional advice.
14. DISCLAIMERS
To the fullest extent permitted by applicable law:
Services are provided on an “as is” and “as available” basis,
Platform availability may be affected by infrastructure providers, AI systems, cloud services, APIs, internet connectivity, operational limitations, or third-party technologies,
temporary interruptions or partial unavailability of features do not automatically create refund rights or liability.
Commercial outcomes depend on numerous external variables including:
customer operations,
market conditions,
budgets,
competition,
customer implementation,
user behavior,
third-party platforms,
operational execution,
and technical dependencies.
15. LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law, Khilon’s total aggregate liability arising out of or relating to the Services shall not exceed the total fees paid by the Corporate Customer during the three (3) months preceding the relevant claim.
Khilon shall not be liable for:
indirect damages,
loss of profits,
revenue loss,
business interruption,
reputational harm,
customer loss,
data loss,
operational disruption,
third-party claims,
consequential damages.
16. FEEDBACK
Any feedback, suggestions, recommendations, operational ideas, enhancement requests, or comments provided by the Corporate Customer may be used by Khilon without restriction, attribution, or compensation.
17. SURVIVAL
Sections relating to:
confidentiality,
intellectual property,
payment obligations,
disclaimers,
limitations of liability,
acceptable use restrictions,
dispute resolution,
operational protections,
and non-solicitation obligations
shall survive termination or expiration of the applicable Services or agreements.
18. CHANGES TO THESE TERMS
Khilon may revise or update these Supplemental Terms from time to time.
Updated versions become effective upon publication on the Platform.
Continued use of the Services following such updates constitutes acceptance of the revised Terms.
19. GOVERNING LAW & JURISDICTION
These Supplemental Terms shall be governed by and construed in accordance with the laws of the Republic of Türkiye.
Any disputes arising out of or relating to these Supplemental Terms shall be subject to the exclusive jurisdiction of the Istanbul Anatolian Courts and Enforcement Offices.
In the event of any inconsistency between translated versions, the English version shall prevail.
20. ACCEPTANCE
By purchasing or using Services for commercial purposes, the Corporate Customer acknowledges that it has read, understood, and agreed to these Supplemental Terms.
